These Terms of Service (the "Terms") govern access to and use of the routing API, developer tools, documentation, and any related services (collectively, the "Services") made available by UnifyVerse B.V., a private limited company incorporated in the Netherlands, registered at Vinkenburgstraat 2-A, 3512 AB, Utrecht ("UnifyVerse", "we", "us").
By accessing the Services, creating an account, or generating an API key you ("Customer") agree to be bound by these Terms. If you are entering into these Terms on behalf of a legal entity, you represent that you have authority to bind that entity.
The Services provide programmatic access to cross-chain routing logic that evaluates available Third-Party Providers and returns a selected route based on parameters submitted with each request. UnifyVerse does not itself custody assets, act as a counterparty to transactions, provide investment advice, or guarantee outcomes produced by Third-Party Providers.
Customer is responsible for maintaining the confidentiality of its API Keys and for all activity that occurs under them. Customer will promptly notify UnifyVerse of any suspected unauthorised use. UnifyVerse may rotate, suspend, or revoke API Keys where necessary to protect the integrity or availability of the Services.

Free-tier access is rate-limited as described in our documentation. Paid plans and bespoke commercial terms are agreed via an Order Form and invoiced in EUR unless otherwise stated. Fees are exclusive of VAT and other taxes, which are payable by Customer where applicable.
The Services interoperate with Third-Party Providers that UnifyVerse does not control. Outcomes — including quotes, execution prices, liquidity, settlement finality, and the availability of assets or chains — depend on those providers. UnifyVerse makes no representations or warranties with respect to Third-Party Providers and is not liable for their acts or omissions.
As between the parties, UnifyVerse retains all right, title, and interest in and to the Services, including routing algorithms, compliance scoring logic, and documentation. Subject to these Terms, UnifyVerse grants Customer a non-exclusive, non-transferable, revocable licence to access and use the Services during the applicable subscription term.
Each party will protect the other's non-public business, technical, and commercial information with the same degree of care it applies to its own confidential information, and no less than a reasonable standard. Confidentiality obligations survive termination for three (3) years.
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, UnifyVerse disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. UnifyVerse does not warrant that the Services will be uninterrupted, error-free, or produce any specific commercial result. Nothing in the Services constitutes legal, tax, or investment advice.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or related to these Terms, even if advised of the possibility of such damages. Each party's aggregate liability under these Terms will not exceed the fees paid by Customer to UnifyVerse in the twelve (12) months preceding the event giving rise to the claim.
Customer will defend and indemnify UnifyVerse against any third-party claim arising from Customer's breach of these Terms, its use of the Services in violation of law, or its instructions that cause the Services to be used in an unlawful manner.
These Terms apply for as long as Customer uses the Services. Either party may terminate for material breach not cured within thirty (30) days of written notice. UnifyVerse may suspend or terminate access immediately where continued provision would expose it to regulatory, security, or legal risk. Sections that by their nature should survive will survive termination.
These Terms are governed by the laws of the Netherlands, excluding its conflict-of-laws rules. The competent courts of Midden-Nederland (Utrecht) have exclusive jurisdiction over any dispute arising from or relating to these Terms, subject to mandatory consumer-protection rules where applicable.
We may update these Terms from time to time to reflect changes in the Services, applicable law, or our business. We will post the updated version and revise the "Last updated" date at the top of this page. Material changes will be communicated in advance where reasonably practicable.
